By accessing or using the DeepThroatForensics platform, engaging our forensic document review, e-discovery, or investigative services, or executing a Service Order that references these Terms, you ("Client") agree to be bound by these Terms & Conditions ("Terms"). If you are entering into these Terms on behalf of a company, firm, or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, do not access the platform or engage our services.
DeepThroatForensics provides legal e-discovery, forensic document review, and investigative services, which may include collection, processing, AI-assisted review, privilege detection, analytics, legal hold management, and production of electronically stored information ("ESI").
Access to case workspaces is granted to named users designated by the Client. The Client is responsible for maintaining the confidentiality of login credentials and for all activity that occurs under its account, and must notify us promptly of any suspected unauthorized access.
We reserve the right to suspend access that we reasonably believe poses a security risk to the platform or to other clients' data.
The Client is responsible for:
All case data is treated as strictly confidential. We maintain administrative, technical, and physical safeguards designed to protect data in transit and at rest, including encryption, access controls, and chain-of-custody logging.
We will not disclose Client data to any third party except: (a) as instructed by the Client, (b) as required by valid legal process — in which case we will, where legally permitted, notify the Client before disclosure — or (c) to subprocessors bound by confidentiality obligations at least as protective as those in these Terms.
Specific certifications, data residency, and retention commitments (e.g., SOC 2, HIPAA, GDPR) are detailed in the applicable Data Processing Addendum or Service Order.
The platform, including its software, models, workflows, and documentation, is owned by DeepThroatForensics and is protected by intellectual property laws. Nothing in these Terms transfers ownership of the platform to the Client.
All case data, documents, and work product belonging to the Client remain the Client's property. We claim no ownership over Client data and use it solely to provide the contracted services.
Fees are set out in the applicable Service Order and are due according to the payment terms specified there. Unless otherwise agreed in writing, invoices are payable within thirty (30) days of the invoice date.
Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and we reserve the right to suspend services for accounts more than sixty (60) days past due, following written notice.
To the maximum extent permitted by law, DeepThroatForensics' total liability arising out of or related to the services shall not exceed the fees paid by the Client for the engagement giving rise to the claim in the twelve (12) months preceding the event.
In no event will either party be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for gross negligence, willful misconduct, or breach of confidentiality obligations, where such limitation is not permitted by applicable law.
The Client agrees to indemnify and hold DeepThroatForensics harmless from claims arising out of the Client's breach of these Terms, its data submitted for processing, or its violation of applicable law, except to the extent caused by our own negligence or misconduct.
These Terms remain in effect for as long as the Client uses the platform or has an active Service Order. Either party may terminate a Service Order as specified in that order, or immediately upon material breach that remains uncured for fifteen (15) days after written notice.
Upon termination, we will make Client data available for export for a reasonable transition period, after which it will be securely deleted in accordance with our data retention policy, unless a longer retention period is legally required.
These Terms are governed by the laws of the jurisdiction specified in the applicable Service Order, without regard to conflict-of-law principles. The parties agree to first attempt to resolve any dispute through good-faith negotiation before pursuing formal proceedings.
We may update these Terms from time to time. Material changes will be communicated to active clients by email or through the platform at least thirty (30) days before taking effect. Continued use of the services after that date constitutes acceptance of the updated Terms.
Questions about these Terms can be directed to our legal team through the contact details listed on our website or in your Service Order.
